The United States Department of Justice (DOJ) launched the challenge in January, on the basis that the acquisition would reduce competition in the corporate travel management market, given Amex GBT and CWT are two of the three largest companies in the space.
However, Amex GBT announced on Tuesday that the DOJ had dismissed its challenge.
“We are pleased that the DOJ has come to this conclusion,” said CWT CEO, Patrick Andersen.
“Our customers and people have an exciting future ahead of them as we turn our focus to completing the transaction and integrating with Amex GBT.
“Together we can provide a tech-enabled future for business travel, where people and technology combine to deliver an exceptional customer experience.”
The acquisition, announced in early 2024 and now valued at US$540 million, is expected to be complete by the end of September.
“We recognise the regulatory approval process has created uncertainty for CWT customers and employees,” said Amex GBT CEO, Paul Abbott.
“We’re excited to close the transaction and welcome them to Amex GBT. Together, we will offer customers unrivalled choice, value and experience.”
In the United Kingdom, the Competition and Markets Authority approved the acquisition in March this year.
Alongside corporate travel management, both Amex GBT and CWT also play in the meetings and events space.
