Informa is set to acquire Clarion from private equity giant Blackstone for £2.24 billion (AU$4.25 billion), with the deal expected to close in the fourth quarter of 2026.
At the same time, Informa is beginning a process to separate out its research publication business Taylor & Francis as it looks to up its focus on the B2B live events market.
“The combination [of Informa and Clarion] will underscore Informa as the UK-listed, international leader in B2B live events, with annual group revenues exceeding $6 billion and underlying revenue growth of 7%±,” said Informa’s group chief executive, Stephen Carter.
“Today’s announcements mark the latest step in a growth strategy that has seen B2B revenues grow tenfold since 2014, whilst generating more than $3 billion of value in business intelligence and lifting Taylor & Francis revenues fourfold since it joined the group.
“With Taylor & Francis approaching $1 billion in revenue, growing at 4%± and with its open research capabilities firmly established, we believe it will now benefit from greater flexibility and freedom through the next phase of its development, as Informa further expands the depth and reach of its B2B portfolio.”
The acquisition of Clarion will bring more than 100 event brands across 25 countries into Informa’s control, joining its existing portfolio of more 800 events in over 30 countries.
With Clarion owning the likes of the world’s biggest consumer electronics show, IFA Berlin, and brands including DSEI, Informa notes that its Clarion takeover will provide large-scale entry into a variety of new markets for the exhibition business, including electronics, defence and gaming, while strengthening Informa’s proposition in sectors it already operates in, including technology and energy.
Informa has confirmed Clarion’s current CEO, Lisa Hannant, will come over with the acquisition and join Informa’s executive leadership team.
“This marks an important new chapter for our business,” said Hannant of the acquisition.
“We have built a portfolio of market-leading brands, established strong positions in attractive markets and created a culture that is recognised across our industry.
“Informa’s decision to invest in Clarion is a recognition of the quality of our business, our brands and our people.
“This is a moment to recognise the outstanding contribution of our teams. Their passion, expertise and commitment have helped build the successful business that Informa is investing in today.
“Together, we see significant opportunities to accelerate growth, expand our reach and continue investing in the products, services and experiences that create value for our customers and communities around the world.
“We are grateful to Blackstone for their support and stewardship over the years, helping us invest in our people, our brands and our long-term growth,” she said.
Informa is projecting £50 million (AU$95 million) in cost savings annually from combining the two businesses and to realise an additional £25 million (AU$47 million) in operating profit opportunities by 2029 as a result of the takeover.
